1) Scope

1.1 These general terms and conditions ("GTC") of Samapura NZ ("Seller") apply to all contracts for the sale and delivery of goods entered into between the Seller and a consumer or business ("Customer") via the Seller’s online shop. Inclusion of the Customer's own terms and conditions is expressly excluded unless otherwise agreed.

1.2 For these terms, a consumer is an individual purchasing goods primarily for personal, domestic, or household use. A business is any person or entity purchasing goods primarily for commercial or business purposes.


2) Conclusion of the Contract

2.1 Product descriptions presented in the Seller's online shop do not constitute binding offers; they serve as invitations to the Customer to make a binding offer.

2.2 Customers submit an offer via the online order form integrated into the Seller’s website. By placing selected goods into the virtual shopping cart and completing the electronic ordering process, Customers make a legally binding offer for the items in their shopping cart upon clicking the final button in the order process.

2.3 The Seller can accept the Customer's offer within five working days by:

  • Sending written order confirmation (email), receipt of which by the Customer is decisive, or

  • Delivering the ordered goods to the Customer, receipt of which by the Customer is decisive, or

  • Requesting payment from the Customer following their order.

If multiple alternatives occur, the contract is concluded when the first occurs. If the Seller does not accept the Customer's offer within this period, the offer is considered declined, and the Customer is no longer bound by their declaration of intent.

2.4 If PayPal payment methods are used, payment processing occurs via PayPal subject to PayPal's Terms of Use (https://www.paypal.com). When paying via PayPal, the contract acceptance is declared at the point when the Customer clicks the final ordering button.

2.5 Upon contract conclusion, the Seller stores the text of the contract and sends it to the Customer via email. No additional provision of the contract text by the Seller is available.

2.6 Prior to finalizing an order, the Customer may identify and correct input errors by carefully reviewing the information displayed. Corrections can be made using standard keyboard and mouse functions until the final button is clicked.

2.7 English is the available language for contract conclusion.


3) Right of Withdrawal

Details regarding the right of withdrawal (cancellation) are specified separately in the Cancellation Policy.


4) Prices and Terms of Payment

All prices indicated are inclusive of GST (Goods and Services Tax) as required by New Zealand law. Additional shipping costs are clearly indicated separately in the ordering process.


5) Delivery and Shipping Conditions

Goods are delivered according to the shipping conditions indicated in the ordering process. Risk of loss and title passes to the Customer upon delivery of goods.


6) Retention of Title

Goods remain the Seller’s property until full payment has been received.


7) Liability for Defects (Warranty)

Goods sold by the Seller are subject to the guarantees provided under the New Zealand Consumer Guarantees Act 1993. Customers have statutory rights to remedies if goods are defective or faulty.


8) Applicable Law

Contracts are governed by the laws of New Zealand, particularly the Fair Trading Act 1986 and Consumer Guarantees Act 1993.


9) Place of Jurisdiction

The place of jurisdiction for disputes arising from this contract is Auckland, New Zealand.


10) Alternative Dispute Resolution

The Seller is committed to resolving disputes amicably. Customers may refer disputes to appropriate New Zealand dispute resolution bodies such as the Disputes Tribunal or Consumer NZ.
